1. Agreement to Terms

By engaging Parfocal Media, LLC for video production, photography, or video editing services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Parfocal Media, LLC ("we," "our," "us," or "Company") provides professional video production and photography services. These terms govern the relationship between you ("Client," "you," or "your") and Parfocal Media, LLC.

2. Services Offered

Parfocal Media, LLC offers the following services:

• Video Production - End-to-end video production including creative development, filming, editing, and delivery
• Professional Photography - Photography services including headshots, team photos, event coverage, and product photography
• Video Editing - Professional editing and post-production services for existing footage

All services are provided as described in the project proposal and creative brief, which becomes part of this agreement.

3. Pricing and Payment Terms

Pricing

• Video Production: Starting at $2,997
• Professional Photography: Starting at $997
• Video Editing: Starting at $649

Final pricing is determined by project scope and complexity, as outlined in your project proposal.

Payment Schedule

• 50% deposit is due upon project approval to secure your production date
• 50% balance is due upon final delivery of all project materials
• Projects will not begin until deposit is received
• Final deliverables will not be released until full payment is received

Payment Methods

Payment accepted via:

• Bank transfer
• Credit card
• Check (if arranged in advance)

Late Payment

If payment is not received by the agreed-upon date, Parfocal Media, LLC reserves the right to pause work and delay delivery until payment is received.

4. Project Timeline and Delivery

Standard Timeline

• Project timeline is typically 2-4 weeks from initial contact to final delivery, depending on workload and project complexity
• Specific deadlines will be confirmed in your project proposal
• Timeline assumes timely client feedback and approvals

Delays

Parfocal Media, LLC will make reasonable efforts to meet agreed-upon deadlines. However, we are not liable for delays caused by:

• Client delays in providing feedback, approvals, or required materials
• Unforeseen circumstances (weather, equipment failure, illness, etc.)
• Client-requested changes or additions to the project scope

Delivery Format

Final deliverables will be provided in the formats specified in your project proposal (e.g., MP4, ProRes, high-resolution JPEGs, etc.).

5. Revisions and Changes

Revision Policy

• One revision round is included in all project pricing
• Revisions must be requested within 5 business days of receiving the first draft
• Revision requests should be specific and detailed

Additional Revisions

• Additional revisions beyond the included round are billed at $150/hour
• Scope changes or additions to the original project are billed separately at our standard rates

Scope Creep

If requested changes significantly expand the project scope beyond the original brief, Parfocal Media, LLC reserves the right to provide a revised quote for additional work.

6. Intellectual Property Rights

Ownership

• Client owns the final video/photos and has the right to use them for the purposes outlined in the project brief
• Parfocal Media, LLC retains the right to use finished work in our portfolio, website, and marketing materials (unless Client requests otherwise in writing)
• Parfocal Media, LLC owns all raw footage, outtakes, and unused materials

Usage Rights

The Client receives a non-exclusive license to use the final deliverables for the purposes specified in the project proposal. Client may not:

• Resell or redistribute the work as their own
• Use the work for purposes not agreed upon in writing
• Remove or alter copyright notices or credits

Portfolio Use

Parfocal Media, LLC reserves the right to display finished work in our portfolio and use it for marketing purposes unless the Client explicitly requests otherwise in writing at the time of project agreement.

7. Client Responsibilities

The Client agrees to:

• Provide accurate information - All information provided (company details, contact info, project goals) must be accurate and complete
• Timely feedback - Provide feedback and approvals within the timeframe specified in the project proposal
• Required materials - Supply any necessary materials, access, or permissions needed for the project (e.g., location access, talent releases, music rights)
• Compliance - Ensure all content provided does not violate any laws or infringe on third-party rights
• Talent releases - Obtain written consent from any individuals appearing in videos or photos (if required by jurisdiction)

8. Limitation of Liability

What We're Not Responsible For

Parfocal Media, LLC is not liable for:

• Lost profits or business opportunities resulting from the use or non-use of deliverables
• Indirect or consequential damages of any kind
• Client's use of deliverables - We are not responsible for how Client uses the final work or any consequences resulting from that use
• Third-party claims - Client is responsible for obtaining all necessary rights, releases, and permissions for content used in the project
• Technical issues - Server failures, data loss, or technical problems beyond our control

Maximum Liability

Parfocal Media, LLC's total liability for any claim shall not exceed the amount paid by Client for the specific project in question.

9. Cancellation and Refunds

Client Cancellation

• If Client cancels before production begins, 50% of the deposit is refundable
• If Client cancels after production has begun, no refund is provided
• If Client cancels after final delivery, no refund is provided

Parfocal Media, LLC Cancellation

If Parfocal Media, LLC must cancel a project due to circumstances beyond our control (illness, equipment failure, etc.), we will:

• Provide a full refund of any payments received, OR
• Reschedule the project for a mutually agreed-upon date

No Refunds for Revision Disputes

If Client is unsatisfied with revisions, no refund is provided. Disputes will be resolved through discussion and good-faith negotiation.

10. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the project, including:

• Business strategies or financial information
• Unreleased products or services
• Client lists or internal communications

This does not prevent Parfocal Media, LLC from using finished work in our portfolio (as outlined in Section 6).

11. Warranties and Disclaimers

Our Warranty

Parfocal Media, LLC warrants that:

• Services will be performed in a professional and competent manner
• Deliverables will be free from defects in workmanship
• We have the right to license the work to Client

Disclaimer

EXCEPT AS EXPRESSLY STATED ABOVE, PARFOCAL MEDIA, LLC MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

12. Indemnification

Client agrees to indemnify and hold harmless Parfocal Media, LLC from any claims, damages, or costs (including legal fees) arising from:

• Client's use of the deliverables
• Client's violation of these terms
• Client's infringement of third-party rights
• Any content provided by Client that violates laws or infringes on others' rights

13. Dispute Resolution

Good Faith Negotiation

If a dispute arises, both parties agree to attempt to resolve it through good-faith discussion and negotiation.

Mediation

If negotiation fails, either party may request mediation before pursuing legal action.

Governing Law

These Terms of Service are governed by the laws of the State of Oklahoma, without regard to its conflict of law provisions.

Jurisdiction

Both parties agree to submit to the exclusive jurisdiction of the courts located in Oklahoma County, Oklahoma.

14. Limitation of Warranty Period

Any claims regarding the quality of deliverables must be made within 30 days of final delivery. After 30 days, deliverables are deemed accepted and no further claims will be considered.

15. Changes to These Terms

Parfocal Media, LLC reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to the website. Continued use of our services constitutes acceptance of the updated terms.

16. Entire Agreement

These Terms of Service, along with the project proposal and creative brief, constitute the entire agreement between Client and Parfocal Media, LLC regarding the services provided. Any prior agreements, understandings, or negotiations are superseded by these terms.

17. Severability

If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
